Terms of Service

1. Agreement to These Terms

By creating an account on PlannedBy or using our platform in any way, you agree to these Terms of Service and our Privacy Policy. If you don't agree, please don't use PlannedBy.

When we say "we", "us", or "PlannedBy", we mean BAVS Studios. When we say "you", we mean anyone who uses the platform -- whether you're a couple planning your wedding, a professional wedding planner, or a vendor.

2. What PlannedBy Is

PlannedBy is a web-based wedding day coordination platform. It helps couples, wedding planners, and vendors stay organised and in sync on the details that matter -- timelines, vendor assignments, contact info, and day-of logistics.

Key features include:

• Wedding runsheet creation and management.
• Vendor portals with role-based access.
• Collaboration between couples, planners, and vendors.
• Access code-based sharing for secure coordination.

PlannedBy is a planning and coordination tool. We do not provide wedding planning advice, recommend vendors, or guarantee any wedding day outcomes.

3. Account Types

3.1 DIY Couples

Couples who are managing their own wedding coordination. You create a wedding, build your runsheet, and invite vendors directly.

3.2 Wedding Planners

Professional wedding planners and coordinators who manage multiple weddings. Planner accounts include tools for managing a portfolio of clients and their associated vendors.

3.3 Vendors

Wedding vendors (photographers, florists, DJs, etc.) who are invited to access a wedding's runsheet by a couple or planner through an access code. Vendors see only the information relevant to their role.

4. Pricing and Payment

4.1 DIY Couple Plans

• Free plan: access to core features with up to 3 vendor connections.
• Pro plan: $49 AUD one-time payment for 2 years of full access, including unlimited vendor connections and all features.

4.2 Planner Plans

Planner subscriptions range from $29 to $229 AUD per month, depending on the plan tier selected. Planner pricing details are available on our website.

• Planner subscriptions are billed monthly.
• Subscriptions auto-renew each billing cycle unless you cancel before the next renewal date.
• You can cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period -- you'll retain access until then.

4.3 Payment Processing

All payments are processed securely through Stripe. By making a payment, you also agree to Stripe's terms of service. We do not store your full payment card details.

4.4 Refund Policy

• Within 14 days of purchase: if you're not satisfied, contact us at hello@plannedby.com for a full refund.
• After 14 days: no refunds will be issued. For planner subscriptions, you can cancel to prevent future charges, but we do not refund the current billing period.

4.5 Price Changes

We may change our pricing from time to time. If you're on an active paid plan, we'll give you at least 30 days' notice before any price increase takes effect on your account.

5. Your Responsibilities

When using PlannedBy, you agree to:

1. Provide accurate information. The wedding details, vendor contacts, and timeline information you enter should be accurate and up to date. PlannedBy relies on the data you provide -- garbage in, garbage out.
2. Keep your account secure. You're responsible for your password and for any activity that happens under your account.
3. Use access codes responsibly. Access codes are meant for sharing with specific vendors and collaborators. Do not post access codes publicly (on social media, forums, etc.). If an access code is compromised, you should regenerate it immediately.
4. Respect other users. Don't use the platform to harass, spam, or deceive other users.
5. Follow the law. Don't use PlannedBy for any unlawful purpose.

You must not:

• Attempt to gain unauthorised access to other users' accounts or data.
• Reverse-engineer, decompile, or attempt to extract the source code of PlannedBy.
• Use automated tools (bots, scrapers) to access the platform without our written permission.
• Resell or redistribute access to PlannedBy without our authorisation.

6. Data Ownership and Licence

6.1 Your Data

You own your wedding data. Everything you put into PlannedBy -- your timelines, vendor details, notes, and wedding information -- belongs to you.

6.2 Licence to Us

By using PlannedBy, you grant us a limited, non-exclusive, worldwide licence to store, process, display, and transmit your data solely for the purpose of providing and improving the PlannedBy service. This licence exists only so we can operate the platform for you. We won't use your data for anything else.

6.3 Licence to You

We grant you a limited, non-exclusive, revocable licence to access and use PlannedBy in accordance with these terms, for the duration of your account.

6.4 Our Intellectual Property

PlannedBy, including its design, code, features, branding, and documentation, is owned by BAVS Studios. These terms don't transfer any ownership of PlannedBy or our intellectual property to you.

7. Availability and Changes to the Service

We aim to keep PlannedBy available and reliable, but we can't guarantee 100% uptime. Things break sometimes -- servers go down, deployments happen, and maintenance is necessary.

We may also:

• Update, modify, or discontinue features at any time.
• Perform scheduled or unscheduled maintenance.
• Temporarily or permanently shut down the service with reasonable notice.

We'll do our best to give advance notice of any significant changes or downtime, especially around peak wedding season. If we discontinue the service entirely, we'll give you at least 30 days to export your data.

8. Limitation of Liability

This is the important part. Please read it carefully.

PlannedBy is a coordination tool, not a wedding guarantee. We help you organise information and share it with the right people. We are not responsible for:

• Vendors who don't show up, arrive late, or underperform.
• Miscommunication between you and your vendors outside the platform.
• Decisions you make based on information in PlannedBy.
• Any outcomes on your wedding day, whether or not you used PlannedBy to plan it.
• Data loss caused by factors beyond our reasonable control.

To the maximum extent permitted by law:

• PlannedBy is provided "as is" and "as available" without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
• Our total liability to you for any claim arising from or related to your use of PlannedBy is limited to the amount you paid us in the 12 months prior to the claim, or $100 AUD, whichever is greater.

Nothing in these terms excludes or limits liability that cannot be excluded or limited under Australian Consumer Law. If you're an Australian consumer, you have guarantees under the Australian Consumer Law that these terms do not override.

9. Indemnification

You agree to indemnify and hold harmless BAVS Studios, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of PlannedBy.
• Your violation of these terms.
• Your violation of any third party's rights.

10. Termination

10.1 By You

You can delete your account at any time by contacting us at hello@plannedby.com or through your account settings. When you delete your account:

• Your wedding data will be permanently deleted within 30 days.
• If you're on a paid plan, no refund will be issued for the remaining period (see Section 4.4).

10.2 By Us

We may suspend or terminate your account if:

• You violate these terms.
• You use PlannedBy in a way that could harm other users or the platform.
• We're required to do so by law.
• Your account has been inactive for more than 24 months.

Where possible, we'll give you notice and a chance to fix the issue before termination. In cases of serious abuse, we may act immediately.

11. Dispute Resolution

We hope it never comes to this, but if there's a dispute:

1. Talk to us first. Email hello@plannedby.com and give us a chance to resolve things directly. Most issues can be sorted out with a conversation.
2. Mediation. If we can't resolve it informally within 30 days, either party may refer the dispute to mediation administered by the Australian Disputes Centre (ADC) in Melbourne.
3. Court. If mediation doesn't work, the dispute may be brought before the courts of Victoria, Australia.

12. Governing Law

These terms are governed by the laws of the State of Victoria, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of Victoria for any disputes arising under these terms.

13. General

• Entire agreement. These terms, together with our Privacy Policy, constitute the entire agreement between you and BAVS Studios regarding PlannedBy.
• Severability. If any part of these terms is found to be unenforceable, the rest remains in full effect.
• No waiver. If we don't enforce a right or provision in these terms, that doesn't mean we've waived it.
• Assignment. We may assign our rights and obligations under these terms to another entity (for example, in a business acquisition). You may not assign your rights without our written consent.
• Notices. We'll send notices to the email address associated with your account. You can send notices to hello@plannedby.com.

14. Changes to These Terms

We may update these terms from time to time. When we do, we'll update the "Last updated" date at the top of this page. If we make significant changes, we'll notify you by email or through a notice on the platform at least 14 days before the changes take effect.

Your continued use of PlannedBy after changes take effect means you accept the updated terms.
